1. Acceptance of Terms

By accessing or using the CareGrade™ platform (the "Platform"), including our mobile application and website, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform. These Terms apply to all visitors, users, and others who access or use the Platform.

2. Description of Service

CareGrade™ is an informational platform that helps families research, compare, and connect with senior living communities in California. The Platform includes the SeniorTrust™ Score system, CareGrade™ ratings, community directory, the ClaraConcierge™ AI assistant, and the CareGrade™ Information Desk. All information is provided for educational and research purposes only.

3. Informational Purpose Only

CareGrade™ does not provide medical, legal, financial, or professional advice of any kind. Clara, our AI concierge, is an informational research tool and is not a licensed healthcare provider, attorney, financial planner, or licensed placement agent. Nothing on the Platform constitutes a recommendation, endorsement, or guarantee of any community, care provider, or outcome. Always consult qualified professionals for decisions regarding health care, legal matters, and financial planning.

4. Eligibility

You must be at least 18 years old to use the Platform. By using the Platform, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

5. User Accounts

Some features require account registration. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to notify us immediately of any unauthorized use of your account. CareGrade reserves the right to suspend or terminate accounts that violate these Terms.

6. Referral Program & Compensation Disclosure

CareGrade may receive compensation from participating senior living communities when a family member moves into certain communities through the Platform. This compensation never affects SeniorTrust™ Scores, rankings, reviews, CompareWHY™ results, recommendations, safety assessments, quality assessments, or any other consumer-facing evaluation. Communities that participate in our referral program are clearly disclosed where required.

7. Intellectual Property

CareGrade™, SeniorTrust™ Score, CompareWHY™, ClaraConcierge™, and the CareGrade™ Information Desk are proprietary systems and trademarks of CareGrade. All content on the Platform, including text, graphics, logos, and software, is owned by or licensed to CareGrade and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

8. Prohibited Conduct

You agree not to:

• • Use the Platform for any unlawful purpose or in violation of these Terms
• • Scrape, crawl, or systematically extract data from the Platform without permission
• • Impersonate any person or entity or misrepresent your affiliation
• • Interfere with or disrupt the security or integrity of the Platform
• • Submit false or misleading information in referrals or inquiries
• • Attempt to reverse engineer any component of the Platform

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. CAREGRADE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES. COMMUNITY DATA IS SOURCED FROM PUBLIC RECORDS AND MAY NOT BE COMPLETE OR CURRENT. WE MAKE NO REPRESENTATIONS REGARDING THE ACCURACY OF COMMUNITY PROFILES, SCORES, OR INSPECTION DATA.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CAREGRADE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM OR RELIANCE ON ANY INFORMATION PROVIDED. IN NO EVENT SHALL CAREGRADE'S TOTAL LIABILITY EXCEED ONE HUNDRED DOLLARS ($100).

11. Third-Party Services

The Platform integrates with third-party services including Google Maps, Stripe, and others. Your use of these services is subject to their own terms and privacy policies. CareGrade is not responsible for the practices or content of third-party services.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of courts located in California.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last Updated" date and, where appropriate, by email or in-app notice. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
